1. Acceptance of Terms

By accessing or using CodieEditor ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. Use of License

CodieEditor grants you a limited, non-exclusive, non-transferable license to use our AI video editing tools for personal or commercial purposes, subject to your subscription plan limits.

3. AI-Generated Content & Ownership

• Your Input: You retain all ownership rights to the original videos and content you upload to CodieEditor.
• AI Output: You own the rights to the derivative works (edited clips, captions, etc.) generated by the Service using your content.
• License to Us: You grant us a worldwide, royalty-free license to host, copy, and process your content solely for the purpose of providing the Video Editing Service to you.

4. Acceptable Use Policy

You agree not to use the Service to:

• Upload content that is illegal, harmful, threatening, or sexually explicit.
• Violate any third-party intellectual property rights.
• Attempt to reverse engineer the AI models or source code.
• Use the Service for any purpose that violates applicable laws.

5. Subscription & Billing

Certain features of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually). You may cancel your subscription at any time; however, access will continue until the end of the current billing cycle.

6. Limitation of Liability

In no event shall CodieEditor, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service.

7. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the results of the AI editing will be accurate, reliable, or strictly meet your expectations/requirements.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
